SMS Terms and Conditions

These SMS Terms and Conditions ("SMS Terms") govern the use of text messaging services provided by Verus Cloud Secure ("we," "us," or "our"). By providing your mobile phone number and consenting to receive text messages from us, you agree to these SMS Terms.

These SMS Terms are in addition to, and do not replace, any separate written agreement between you and Verus Cloud Secure for managed services, professional services, or other engagements.

## 1. Program Description

Verus Cloud Secure operates an SMS messaging program that may include the following message types:

- **Account notifications:** updates regarding your account, services, or scheduled work
- **Service alerts:** notifications about system status, incidents, or maintenance windows affecting your environment
- **Appointment confirmations and reminders:** scheduling confirmations, change notifications, and reminders
- **Customer care responses:** replies to inquiries you initiate by texting our published number
- **Operational communications:** information related to ongoing engagements

We do not send marketing or promotional SMS messages without separate, explicit opt-in consent.

## 2. How to Opt In

You may opt in to receive SMS messages from Verus Cloud Secure by:

- Initiating a text message conversation with one of our published business numbers
- Providing your mobile number and affirmative consent to a Verus Cloud Secure representative
- Submitting your mobile number through a form on this website that includes an unchecked SMS consent checkbox

Consent to receive SMS messages is **not a condition of any purchase** of products or services from Verus Cloud Secure.

## 3. Message Frequency

Message frequency varies based on your engagement with us and the operational needs of any active services. Typical recipients receive **up to 30 messages per month**. Frequency may be higher during active incidents, scheduled maintenance, or onboarding.

## 4. How to Opt Out

You may opt out of SMS messages from Verus Cloud Secure at any time by replying with any of the following keywords to any message received from us:

`STOP` — `END` — `CANCEL` — `UNSUBSCRIBE` — `QUIT`

After opting out, you will receive a final confirmation message indicating that no further SMS messages will be sent. Opting out applies to the specific number from which the message was received. To opt out of messages from all of our numbers, send `STOP` to each.

To resume messages after opting out, reply `START` or `UNSTOP`, or contact us at the address below.

## 5. How to Get Help

Reply `HELP` to any message you receive from us for assistance, or contact us using the information in Section 11 below.

## 6. Carrier Disclosure

**Message and data rates may apply.** Standard messaging rates set by your wireless carrier apply to all messages sent and received. Verus Cloud Secure is not responsible for any charges from your wireless carrier.

We support SMS delivery on all major U.S. wireless carriers. Carriers are not liable for delayed or undelivered messages.

## 7. Supported Carriers

This SMS program is available on AT&T, Verizon, T-Mobile, U.S. Cellular, Sprint, Boost, MetroPCS, and most other U.S. wireless carriers. Compatibility with regional or prepaid carriers is not guaranteed.

## 8. Privacy

We treat the mobile number you provide and any related information as confidential. We **do not sell, rent, lease, or share** your mobile number or SMS opt-in data with third parties or affiliates for marketing or promotional purposes at any time.

We may share information with vendors who provide infrastructure for our messaging program (for example, our SMS service provider) solely to deliver these messages on our behalf. These vendors are contractually prohibited from using your data for any other purpose.

## 9. Your Responsibilities

You agree:

- To provide accurate, current mobile phone information
- To notify us promptly if your mobile number changes or is reassigned
- Not to provide a mobile number that does not belong to you
- To use the SMS service in compliance with these SMS Terms and applicable law

You may not use our SMS service to transmit unlawful, harassing, defamatory, threatening, or otherwise objectionable content.

## 10. Disclaimers and Limitation of Liability

The SMS service is provided **as is** and **as available**, without warranty of any kind, express or implied. We do not guarantee message delivery, timing, or accuracy. SMS is an unencrypted communication channel and should not be used to transmit highly sensitive information (passwords, full account numbers, protected health information, etc.).

To the maximum extent permitted by Pennsylvania law, Verus Cloud Secure's total liability arising out of or relating to these SMS Terms or the SMS service shall not exceed one hundred U.S. dollars ($100.00). Verus Cloud Secure shall not be liable for any indirect, incidental, special, consequential, or punitive damages, even if advised of the possibility of such damages.

Nothing in this section limits any liability that cannot be excluded or limited under applicable law.

## 12. Governing Law

These SMS Terms are governed by and construed in accordance with the laws of the **Commonwealth of Pennsylvania**, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these SMS Terms or the SMS service shall be brought exclusively in the state or federal courts located in **Delaware County or Montgomery County, Pennsylvania**, and you consent to the personal jurisdiction of those courts.

## 13. Compliance

We comply with applicable federal and Pennsylvania law governing telephone communications, including the Telephone Consumer Protection Act (TCPA, 47 U.S.C. § 227), CAN-SPAM Act, and the CTIA Messaging Principles and Best Practices.

## 14. Changes to These Terms

We may update these SMS Terms from time to time. The "Last updated" date at the top of this page indicates when these Terms were last revised. Material changes will be communicated through the SMS program or by other reasonable means. Your continued participation in the SMS program after changes take effect constitutes acceptance of the updated Terms.

## 15. Severability

If any provision of these SMS Terms is held invalid or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
